DESCRIPCIÓN
Curso e-learning de 10 horas para el día a día del abogado que trabaja en ámbito Internacional Empresarial y de Contratos.
OBJETIVOS
El objeto de este curso es mejorar la competencia lingüística y adquirir terminología necesaria para redactar e interpretar contratos modernos redactados en inglés. Dividiremos el vocabulario en cuatro partes (se explica en el fichero) y estudiaremos cada parte con más detalle. Igualmente, se reforzarán todo que he aprendido con ejercicios de práctica y actividades de escucha y lectura.
PROGRAMA
1. Where does contract law come from? (Statute and Case law and important vocabulary related to it)
2. Understanding the elements of an English contract – offer, acceptance, consideration and intention
3. Reading an important case in English contract law contract - Balfour v Balfour
4. Four types of contract vocabulary
- Terms of art (E.g. indemnify)
- Legalese (E.g. forthwith, notwithstanding etc.) and how to replace them with plain English
- Formal expressions (E.g. during such time as, at the present time etc.)
- Archaic terms (hereby, herein, thereto etc.)
5. The structure of a commercial contract and some common clauses (Parties, recitals, defined terms section etc.)
6. Some other important contract clauses and vocabulary to understand them:
- Intellectual property clauses (examples of vocabulary: infringe, assign etc.)
- Termination clauses (examples of vocabulary: material breach, liquidation etc.)
- Warranty, indemnity and force majeure clauses (examples of vocabulary: express and implied warranties, unforeseeable, act of God)
- Boilerplate clauses (not covered above like the entire agreement clause, severability etc.)
